Overview

Brad specializes in Delaware corporate law and represents clients in a variety of areas, including corporate and commercial litigation in the Delaware Court of Chancery where he began his legal career as a judicial law clerk.  A Fellow of the American College of Governance Counsel, a substantial portion of Brad's practice also involves advising directors and companies on corporate governance and litigation matters, including representing demand review and special litigation committees.

Chambers USA has recognized Brad as a leading Court of Chancery practitioner each year since 2012 and, most recently, Chambers USA 2025 again included Brad in its top “Band 1” ranking.  Among other things, Chambers has recognized Brad as “one of the very best lawyers in Delaware,” "well versed across a range of Chancery matters,” and respected for his "strategic mind" and “great practical judgment."  Chambers has also recognized Brad for his “ability to synthesize problems and provide a solution,” and as a “trustworthy and always reliable” lawyer whose “legal arguments and written product are absolutely first-rate.”  Brad has separately been recognized by Chambers "for his work advising special committees."  

Other leading publications have acknowledged Brad as well, including Benchmark Litigation and The Legal 500 US, where he is listed as one of 30 “leading partners” nationwide for M&A defense litigation.  In addition to the American College of Governance Counsel, Brad is also a Fellow of both the Litigation Counsel of America and the American Bar Foundation.  

Brad has represented clients in many of Delaware’s marquee corporate cases over the last 20-plus years.  He has additionally advised directors or special committees of AMC Entertainment, American International Group, Capital One Financial, Google, Hertz, Sanderson Farms, Sleep Number, TrueCar, and Walmart, among other companies.   

Brad frequently speaks and writes on Delaware corporate law issues.  He currently serves as Co-Chair of PLI’s annual Delaware Law Developments, What All Business Lawyers Need to Know seminar in New York and, most recently, he led the seminar's "Delaware Fiduciary Litigation Update" panel this past April.  Brad has additionally spoken at the Delaware State Bar Association’s annual Bench and Bar Conference on a panel exploring the practices of the Delaware judiciary and courts, as well as on Delaware law and M&A panels sponsored by the Corporate Law Section of the Delaware State Bar Association and the Business Law Section of the ABA. 

Brad has published articles in, among other publications, The Business Lawyer; Deal Points; The Delaware Law Review; Insights; and The M&A Lawyer.  A number of these articles have been cited in decisions by the Court of Chancery and other courts.  Brad also served as Co-Vice Chair of the ABA Task Force that delivered a report to Congress and the SEC on the delineation of governance roles and responsibilities of stockholders and directors in light of the then unraveling 2008 financial crisis. 

Following his Chancery clerkship, Brad practiced for five years at Weil, Gotshal & Manges LLP in the firm's Securities and Corporate Governance Litigation Group in New York before returning to Delaware and becoming a founding partner of the firm.
