Ross Aronstam & Moritz, together with Susman Godfrey LLP, represented Pzena Investment Management, Inc. in a dispute over whether an equityholder and former executive had a right to convert private Class B shares into soon-to-be cashed out publicly traded Class A stock before Pzena's $795 million go-private transaction in 2022. The Court of Chancery ruled that Pzena had not breached the plain language of the governing agreement nor the implied covenant of good faith and fair dealing, granting Pzena’s motion to dismiss the complaint in its entirety.
