- Our firm, together with Weil, Gotshal & Manges LLP, is representing Kinder Morgan, Inc. and certain individuals and affiliates in stockholder class actions challenging Kinder Morgan’s cross-conditioned acquisitions of energy companies El Paso Corporation, Kinder Morgan Energy Partners, L.P., and Kinder Morgan Management, LLC for more than $75 billion in the aggregate. Following expedited discovery and briefing, the Court of Chancery denied plaintiffs' motion to preliminarily enjoin the Kinder Morgan Energy Partners’ unitholder vote on the transaction on November 5, 2014 and the transactions successfully closed on November 26, 2014.
- In UMB Bank v. Caesars Entertainment Corp., the firm, together with Quinn Emanuel Urquhart & Sullivan, LLP and Katten Muchin Rosenman LLP, represents UMB Bank, as indenture trustee for certain senior noteholders, in expedited litigation seeking the appointment of a receiver over Caesars' operating subsidiary based upon the alleged looting of billions of dollars in assets. After the Court granted expedition over defendants' objections, the senior creditors reached a favorable agreement with Caesars.
