Dent v. Ramtron International Corporation, C.A. No. 7950-VCP (Del. Ch. 2012)

Our firm, along with Wilson Sonsini Goodrich & Rosati, defended Cypress Semiconductor Corporation and its acquisition subsidiary in expedited litigation in the Court of Chancery against a stockholder action challenging the acquisition by Cypress of Ramtron International Corporation.  After expedited discovery on the plaintiffs’ motion for a disclosure-based injunction, the Court of Chancery held that the target company’s management projections were immaterial and did not have to be disclosed to stockholders.  As a result, the Court denied the plaintiffs’ motion for preliminary injunction, and the deal closed very shortly thereafter.
