Cleveland Bakers & Teamsters Pension Fund v. Bezos, et al., No. 127, 2025 (Del. 2025)
Ross Aronstam & Moritz, together with Wachtell, Lipton, Rosen & Katz, successfully represented Amazon.com and members of its board and senior management team against a stockholder derivative suit alleging breaches of fiduciary duty in connection with Amazon’s entry of satellite launch contracts for Amazon’s “Project Kuiper” with Blue Origin, a rocket company founded by Jeff Bezos. The Court of Chancery determined that demand on the board would not have been futile, granting defendants' motion to dismiss under Court of Chancery Rule 23.1. On appeal, the Supreme Court summarily affirmed the dismissal.
