On Wednesday, June 11, Mike Sirkin spoke on a West Legal Education Center panel entitled "Let the Seller Beware:  The Seller's Attorney-Client Privilege Passes in a Merger Under Delaware Law."  The panel discussed how practitioners could contract around the Court of Chancery's Great Hill decision from 2013, which established that as a default rule, control of the target's pre-merger attorney-client privilege passes to the acquiror in a merger.
