The webinar addressed the recent Great Hill Equity Partners case where the Delaware Court of Chancery held that under Section 259 of the DGCL, all privileges—including the attorney-client privilege—pass from the acquired corporation to the surviving corporation in a merger. Practitioners, including litigators and transactional lawyers, are still processing the implications of this decision for sellers and their private equity and venture capital stockholders. Mike was joined on the panel by Patricia Vella and John DiTomo from Morris, Nichols, Arsht & Tunnell, LLP.
