Rock Solid Gelt Ltd. v. The SmartPill Corp., C.A. No. 7100-VCN (Del. Ch. 2012)
The firm, together with Pierce Atwood LLP, successfully represented The SmartPill in its defense of a books and records action arising under § 220 of the Delaware General Corporation Law. Following trial, the Court of Chancery refused to order inspection of most of the documents sought by the stockholder, finding that the stockholder had failed to establish the required proper purpose.
