Overview

Roger represents business entities, directors, officers, managers, and stakeholders in a variety of corporate and commercial disputes in the Delaware Court of Chancery, the Complex Commercial Litigation Division of the Delaware Superior Court, and the Delaware Supreme Court.  Roger’s practice includes a focus on litigation arising from M&A and other large corporate transactions, issues of corporate control, and other issues of entity governance.  Roger also represents corporate and commercial constituents in proceedings concerning issues of entity formation and dissolution, information access, and valuation.

Outside litigation, Roger also advises corporate and commercial constituencies in a variety of transactional and adversarial contexts, including special litigation committee investigations, pre-suit demands, books-and-records requests, and stockholder negotiations.

Roger has been recognized as a “Rising Star in Business Litigation” by Delaware Super Lawyers each of the last four years.  Before joining the firm, Roger served as a law clerk for Vice Chancellor J. Travis Laster in the Delaware Court of Chancery. Roger began his career as a corporate litigation associate at Potter Anderson & Corroon LLP.
