Brad Aronstam and Michael Sirkin published an article in Insights, entitled Post-Closing Litigation Risk in Stockholder M&A Actions. The article surveys a recent trend, seen in six cases in the Delaware Court of Chancery, of stockholder M&A litigation continuing past closing of the transactions. The article recommends that practitioners and transacting parties factor in risk of post-closing litigation in their decision-making.
