In re Blyth, Inc. Stockholders Litigation, Consol. C.A. No. 11464-VCG (Del. Ch. 2015)

Ross Aronstam & Moritz, together with Wachtell, Lipton, Rosen & Katz, represented Blyth, Inc. and its directors in connection with stockholder litigation challenging Blyth's acquisition by the Carlyle Group in a merger under 8 Del. C. § 251(h).  Before closing, the stockholder plaintiffs moved for expedited proceedings in support of a motion for preliminary injunction to enjoin the transaction.  On October 1, 2015, the Court of Chancery denied expedition.  The stockholder plaintiffs subsequently voluntarily dismissed their claims.
